Terms of Service

1. Acceptance of terms

By accessing or using the Porchlight platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a community association, property management company, or other organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of service

Porchlight is a community management platform designed for Washington state homeowners associations, condominiums, and cooperatives. The Service provides tools for governance, communication, record keeping, financial management, and compliance with applicable Washington state law, including RCW 64.90 and related statutes.

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes when practicable.

3. Accounts and registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@porchlightway.com if you suspect unauthorized use of your account.

4. Permitted use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in violation of any applicable law or regulation
• Access or attempt to access another user's account without authorization
• Interfere with, disrupt, or compromise the integrity or security of the Service
• Upload or transmit viruses, malware, or other harmful code
• Use the Service to harass, abuse, or harm other users or community members
• Scrape, crawl, or use automated means to access the Service without our prior written consent
• Reverse engineer, decompile, or disassemble any part of the Service

5. Community association data

Ownership. Community associations retain ownership of all data they upload to or generate through the Service, including meeting minutes, governing documents, financial records, and member information ("Association Data").

License to Porchlight. By using the Service, you grant us a limited, non-exclusive license to use, store, process, and display Association Data solely as necessary to provide and improve the Service.

Data portability. Upon request and subject to applicable law, we will provide a reasonable export of Association Data in a standard, machine-readable format. Data export requests may be submitted to support@porchlightway.com.

Compliance records. Certain Association Data may be subject to record-keeping requirements under Washington state law. We will assist associations in meeting those obligations, but each association remains ultimately responsible for its own legal compliance.

6. User content

You are solely responsible for any content you post, upload, or share through the Service ("User Content"). You represent that you have all necessary rights to share such content and that it does not infringe on any third party's intellectual property or other rights.

We do not endorse or assume liability for any User Content. We reserve the right to remove User Content that violates these Terms or applicable law.

7. Fees and payment

Access to certain features of the Service requires a paid subscription. Fees, billing cycles, and payment terms are described in your subscription agreement or on our pricing page. All fees are non-refundable unless otherwise stated or required by law.

We reserve the right to change our fees with at least 30 days' prior written notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

8. Intellectual property

The Service, including its design, features, code, documentation, and branding, is owned by Original Pioneers, Inc. and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without prior written consent.

You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code, except as expressly permitted by law.

9. Third-party integrations

The Service may integrate with or link to third-party services. We are not responsible for the availability, accuracy, or content of third-party services, and your use of them is subject to their own terms and privacy policies.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. While Porchlight is designed to support compliance with Washington state community association laws, we do not provide legal advice and do not guarantee regulatory compliance.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGINAL PIONEERS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Original Pioneers, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will cease immediately. We will retain Association Data for a reasonable period to allow for export, after which it may be deleted in accordance with our data retention policies and applicable law.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Washington state, and you consent to the personal jurisdiction of those courts.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on our website, updating the effective date above, and, where appropriate, sending you a notification through the Service.

Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire agreement

These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Original Pioneers, Inc. regarding your use of the Service.
